International Franchise Agreement
The International Franchise Agreement template provides franchisors and franchisees with a framework in which their rights and responsibilities can be protected. It takes into account the most commonly used clauses in franchise agreements for international markets. It also suggests alternative clauses and allows parties to insert their own requirements on certain points.
By means of this Agreement, the Franchisor grants to the Franchisee the exclusive right to distribute its products (or services) in establishments which are uniformly equipped and furnished, as well as the right to use Intellectual Property Rights (brands, commercial signs, trademarks), while also providing the whole Know-How (Franchise Handbook), and the technical and commercial support for distribution to be carried out correctly. The Franchisee must follow the instructions given by the Franchisor as regards the presentation, commercialization and corporate image on the authorized premises. In recognition of the services provided, the Franchisee pays the Franchisor a series of different fees (Front-end fee, sales fee, advertising fee).
This Agreement is intended for international franchises that distribute products (foodstuff, cosmetics, decorations, textiles, etc.) but with a few slight modifications it may also be used for franchises that provide services (real estate, consultancies, financial services, the internet, cleaning services, catering, etc.).
