Description
The Share Sale and Purchase Agreement is used to sell all the shares of a limited company to a purchaser. This agreement is suitable for the acquisition or disposal of a small or medium-sized company which has no subsidiaries. The agreement consists of 13 clauses and covers matters such as price, procedures on completion, disclosure of information and warranties, non-competition and confidentiality. If the owner of the company wants to sell the assets of the business (equipment, goodwill, existing contracts, customer lists, etc.) rather that all the shares of the company, the Business Sale and Purchase Agreement should be used. |
